1. Definitions
- “Company” refers to Shri Trading Co.
- “Customer” refers to anyone purchasing goods or services from the Company.
- “Goods” means products offered for sale, including but not limited to agricultural, industrial, or consumer items.
- “Services” means all related activities, including shipping, logistics, consultation, etc.
2. Acceptance of Terms
By placing an order, the Customer agrees to be bound by these Terms & Conditions. Any additional or conflicting terms proposed by the Customer are void unless expressly accepted in writing by the Company.
3. Orders & Product Descriptions
3.1 Orders placed via website, email, or verbally become binding once the Company issues a written acknowledgement or invoice.
3.2 Product descriptions are based on information provided by manufacturers. The Company is not liable for slight variations in dimensions, specifications, or availability.
4. Pricing & Payment
4.1 All prices are exclusive of applicable taxes (GST, duties), unless otherwise stated.
4.2 Prices may be revised without notice. Confirmed quotes remain valid for 7 days.
4.3 Payment terms: advance, credit, LC, or other agreed terms. Late payments incur interest at 18% p.a.
5. Delivery & Risk
5.1 Delivery dates are estimates. The Company shall not be responsible for delays caused by logistics, customs, or force majeure.
5.2 Risk passes to the Customer at dispatch/EOR point. Insurance is available at Customer’s request.
6. Inspection & Acceptance
6.1 Customers must inspect Goods upon delivery and notify the Company in writing within 3 days of any defects or shortages.
6.2 No claims accepted post the 3-day window.
7. Returns & Cancellations
7.1 Returns are accepted only for defective/damaged Goods, with prior approval. Goods must be unused and in original packaging.
7.2 Custom-made or perishable items cannot be returned.
7.3 Cancellation of confirmed orders is subject to a handling fee of up to 20% of the invoice value, plus any costs incurred.
8. Warranty & Liability
8.1 Manufacturer warranties pass through to the Customer. The Company makes no additional warranties.
8.2 The Company’s total liability is capped at the invoice value. The Company is not liable for consequential, incidental, or indirect damages.
9. Intellectual Property
All trademarks, copyrights, and proprietary content on the Company’s materials remain the Company’s property. Customers may not reproduce or use these without permission.
10. Confidentiality
Both parties agree to maintain confidentiality of non-public business, technical, or financial information received in connection with transactions.
11. Data Privacy
The Company collects and processes Customer data in compliance with applicable privacy laws (e.g., India’s IT Act). Data will not be shared with third parties without consent, except as required by law or for order fulfillment.
12. Force Majeure
The Company is not liable for delays or failures caused by events beyond its control, including natural disasters, strikes, governmental actions, or pandemics.
13. Termination
The Company reserves the right to suspend or terminate service, cancel orders, or refuse delivery to Customers failing to comply with these Terms or individual agreements.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall first be referred to mutual mediation. If unresolved within 30 days, disputes will be submitted to arbitration under the Indian Arbitration & Conciliation Act. Jurisdiction: courts in [City, State].
15. Notices
All notices must be in writing and delivered via email, courier, or registered post to the addresses provided by the parties. Notices are deemed received 3 days after posting or upon confirmed email delivery.
